1. Acceptance of Terms
By accessing our website or formally engaging Corvus for advisory services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. Specific Master Services Agreements (MSAs) or Engagement Letters signed for specific deals will supersede these general website terms where applicable.
2. Description of Services
Corvus provides specialized Technical Due Diligence, risk assessment, and M&A advisory services ("Services").
Advisory Nature: Our Services are advisory in nature. We provide technical insights, code audits, and risk assessments based on the data available to us.
No Guarantee: While we strive for accuracy, we do not guarantee the future performance, profitability, or scalability of any acquisition target. A "passing" score from Corvus does not guarantee a successful investment.
3. Intellectual Property Rights
Our Content: All content on this website, including text, graphics, logos (specifically the Corvus Raven), and software, is the property of Corvus and is protected by copyright and other intellectual property laws.
Client Deliverables: Upon full payment of fees, any specific "Red Flag Reports" or "Deep Dive Assessments" created for you become your confidential property. However, Corvus retains ownership of the underlying methodologies, frameworks, and tools used to generate those reports.
4. User Obligations
You agree strictly not to:
Use our website or services for any unlawful purpose.
Attempt to reverse engineer any software or tools provided during the engagement.
Misrepresent your identity or affiliation with any person or entity (e.g., claiming to be a Buyer when you are a Competitor).
5. Payment & Fees
Engagement Fees: Fees for our Services are defined in your specific Engagement Letter (e.g., "Red Flag" vs. "Deep Dive" packages).
The "Kill Switch": As per our policy, if a "Deal Breaker" is identified and the engagement is terminated early under the Kill Switch provision, billing will be capped at the agreed-upon Kill Fee rate.
Refunds: Except as explicitly stated in an Engagement Letter, all fees paid are non-refundable.
6. Confidentiality
We understand the sensitivity of M&A. We agree to maintain the confidentiality of all non-public information provided to us regarding your business and your potential acquisition targets. This obligation is typically governed by a separate Non-Disclosure Agreement (NDA), which shall control in the event of a conflict with these Terms.
7. Disclaimers (No Warranty)
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CORVUS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT OUR FINDINGS WILL UNCOVER EVERY TECHNICAL FLAW OR SECURITY VULNERABILITY IN A TARGET COMPANY.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CORVUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF OUR SERVICES.
Cap on Liability: In no event shall Corvus's total liability to you for all claims exceed the amount you paid us for the specific engagement giving rise to the claim.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Fort Bend County, Texas.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our Services constitutes acceptance of those changes.
